US LLC for Peruvian Business Owners: Price, EIN, Stripe

7 min read

Short answer: If you run a business in Peru and are not a US citizen or resident, you can open a US LLC with All State Tax Resolution, whose IRS Enrolled Agent, Sabih Shafi, forms it in Wyoming, obtains the EIN without an SSN and files the IRS forms each year. Peru is not among Stripe's countries, while PayPal does list it, with conditions of its own. The cost is $795 USD for formation, $695 USD a year for compliance and $1,395 USD for both.

Key takeaways

  • Peru is not on Stripe's country list. Stripe asks for a legal entity registered in the account's country and, for a US account, a US-registered business.

  • PayPal lists Peru. To open a Business account it asks, among other details, for the business registration number and your business bank account details.

  • PayPal says a transfer to a local bank account in Peru can take up to 7 business days.

  • Peru is not on the IRS list of tax treaties either.

  • The IRS says an EIN by fax generally takes 4 business days, and it is requested without an SSN.

  • Stripe, PayPal and the banks make their own decisions; we only prepare the documents.

Can someone in Peru own a US LLC?

Yes. The IRS considers a foreign person any individual with no US citizenship or residence; that person can own a US LLC even while living in Peru. When the LLC has one foreign owner, the IRS asks for a yearly report, explained below.

The structure is only for people who are not US citizens and do not hold a green card. If you are a US citizen or green card holder living in Peru, start with our tax services for US citizens living abroad.

Stripe and Peru: the country list

When you open Stripe's global page, the list includes the United States and Mexico but not Peru. For businesses outside the list, the same page says payments are not supported yet. Stripe also explains that, to open a business account in a country, you need a legal entity registered in that country.

So for a Peruvian business, the path to a US account goes through a company registered in the US: Stripe says registered businesses with a US account must be registered in the US even if they operate from another country. The review covers the legal name, the entity type (an LLC, for example), the EIN, an SSN (or ITIN) and the business address, and Stripe may ask for official documents. If you have no SSN or ITIN, ask us before you apply. Stripe decides whether to approve it.

PayPal in Peru: what it asks for and how long transfers take

PayPal lists Peru on its country page. To open a Business account, PayPal Peru asks for your full legal name, email, password, business registration number, business description and business bank account details. Its help page says a transfer to the local bank account in Peru can take up to 7 business days, and that any transfer may be delayed or stopped if PayPal identifies an issue. That page also has a broad notice about some countries, where certain services may be offered only for cross-border transactions and receiving money means linking your account to a licensed local partner. The notice names no countries, so it does not tell you whether Peru is one of them.

PayPal's US user agreement says an individual needs to be a US resident for a US account, while a business has to be organized, operating or resident in the US. Because an LLC is organized in the United States, it may fit that rule. The US sign-up page asks for the business's legal name, tax ID or SSN, description and bank account. PayPal decides.

Peru and the tax treaty with the United States

Peru is not on the IRS list of tax treaties. Without a treaty, the IRS says, tax on US-source income follows the same method and rates as in the instructions for the applicable US return. Which part of what you earn counts as US-source depends on your facts, and we go through it on the call.

Any report Peru asks of you because of the LLC is for a professional based there; we coordinate with them, and we do not explain Peruvian rules or numbers here.

Which Peruvian businesses the LLC suits

The structure helps if you already sell, or plan to sell, to the United States: exporters of agricultural products, textiles or crafts with an online shop, consultants, freelance developers and designers, or academies that teach courses online. Your customers pay a US company, and the dollars reach the LLC's account if a bank approves it.

Planning to keep inventory in the US? Read our guide on taxes for foreign sellers first, because the IRS counts profit from that stock as income effectively connected with a business there. Selling only inside Peru? Talk to us before you buy anything.

What the LLC costs: $795 USD, $695 USD a year and $1,395 USD

Formation costs $795 USD and includes the Wyoming LLC, the state filing fee, the first year of registered agent service (Wyoming requires one), the EIN (no SSN required), an operating agreement in English or Spanish, a document folder for the bank and Stripe, and 30 minutes on the phone with me.

Annual compliance, $695 USD a year, takes care of Form 5472 and the pro forma Form 1120. It also covers extensions on Form 7004, the Wyoming annual report with its license tax, the registered agent renewal and reminders before each deadline. Formation and the first year together cost $1,395 USD. Each option assumes a single owner; with partners the filing changes, so bring that up when we talk.

Wyoming is the standard. Delaware or another state is done on request, at a variable price. The full detail is on our pricing page for foreign LLC owners.

What happens after you sign up

You send your passport, home address and what the LLC will do. Once we have everything, the LLC is typically on file in Wyoming in around a business day. Next, Form SS-4 goes out by fax. If the responsible party has no SSN or ITIN and cannot get either, line 7b carries "foreign" or N/A, the IRS says, and the EIN generally arrives within 4 business days.

Then comes the yearly report. If the LLC, with one foreign owner, had a reportable transaction such as money you contribute or withdraw, it files Form 5472 attached to a pro forma Form 1120. Failing to file it when due brings an IRS penalty of $25,000 USD.

Frequently Asked Questions

How do I open a US LLC from Peru?

You send us your passport, your address and what the LLC will do; we form it in Wyoming and request the EIN by fax. After that, a single-owner LLC held by a foreigner files Form 5472 each year it had a reportable transaction.

Can you use Stripe in Peru?

Stripe's global page does not list Peru among its countries. It adds that, outside that list, payments are not supported yet. A company registered in the US, such as an LLC, can apply for a US account, and Stripe decides whether to approve it.

What does PayPal say about transfers to a bank in Peru?

PayPal Peru says a transfer to a local bank may need up to 7 business days. For a US PayPal account with an LLC, PayPal asks for a business organized in the US and its bank account details; PayPal decides whether to open it.

Do I need an LLC to have PayPal?

PayPal's US page says you do not need an LLC or another formal entity to open a Business account, which also serves sole proprietors. Even so, for a US account its terms require an individual to be a US resident, or a business to be organized, operating or resident there. PayPal decides.

Is there a tax treaty between Peru and the United States?

No, according to the IRS list: Peru does not appear. With no treaty, US-source income is taxed under the general rules and rates of the applicable return.

What is Form 5472, and do I file it if I live in Peru?

It is the IRS annual report on transactions between your LLC and you, such as money you put in or take out. A single-owner LLC held by a foreigner files it with a pro forma Form 1120 when it had a reportable transaction, and the penalty for failing to file is $25,000 USD.
